Our client is a very well-known and highly regarded fund services platform with offices across the globe. They have built an enviable client base in the alternative investment space. As they see continued high demand for the exceptional level of service they provide the business has an urgent need to recruit an assistant/manager level candidate to their fund administration team in Luxembourg. The individual will be the first point of client contact on day to day matters and amongst others will be responsible for legal and corporate governance issues for the Luxembourg Fund Administration business across private equity and real estate structures.
Key Responsibilities
- Pro-actively leading the process of on-boarding of new clients
- Preparation/review of board packs, coordination of board and shareholder/investor meetings;
- Attendance at client board and investor meetings and preparation/review of minutes;
- Building, mentoring and motivating a client servicing team with an emphasis on excellence;
- Maintaining and developing processes and checklists relating to legal and corporate tasks, applying high governance standard in line with company policy and regulatory rules;
- Maintaining and developing template legal documents such as minutes, resolutions, agendas, intra-group loan agreements, powers of attorney;
- Responsibility for managing client-team communications
- Responsibility for proactively managing client relationships
- Acting as a director on client boards;
- Advising on general corporate law issues and managing the legal issues of all areas of the Company;
- Pro-actively create and maintain awareness of employees of the Company for (compliance with) relevant laws and regulations;
- Monitoring compliance of the Company with laws and regulations;
- Monitoring compliance of client structures within fund and corporate laws
Skills, Knowledge & Expertise
- Excellent knowledge of Luxembourg companies law and other legal, tax and regulatory regimes as they apply to funds and other structures operating in the real estate, private equity, debt sectors.
- Familiarity with typical Luxembourg private equity and real estate fund structures (eg SCSps managed by full scope AIFMs) and documents (eg LPAs).
- Excellent knowledge of the role and duties of a professional domiciliation/administration agent in Luxembourg.
- Solid knowledge of the Alternative Investment Fund Managers Directive.
- Practical experience of having reviewed Fund and marketing constitutional documents, and service agreements preferable.
- Fluent in English, with French and/or German an advantage.
