Fund Lawyer – Real Estate Manager
Our client is a fast growing Real Estate Manager with an established presence in Luxembourg.
In line with continued development, they are now looking for a new Fund Lawyer to join the team.
Key Responsibilities:
Provide legal services in connection with the set-up, on-boarding and daily legal administration of Luxembourg investment schemes (AIFs), assist with fund projects and coordinate CSSF filings (SIFs, RAIFs, etc.);
Drafting fund documentation and contracts relating to the funds within the group including among others, offering documents, external service providers and joint ventures agreements, board and shareholder resolutions;
Provide legal support to the senior management and other internal departments;
Draft and/or review legal documents in relation to liquidations, mergers and any other events impacting the AIFM, the funds and the SPVs;
Perform regulatory research regarding e.g. new regulations, cases and texts with respect to specific situations and inform concerned parties and clients of relevant developments;
Provide corporate law support to the structuring team on a variety of transactions, including financing arrangements, cross border projects and governance matters in particular though the German and US vehicles;
Advising on various legal obligations deriving from the AIFMD and ensuring compliance;
Acting as a contact point for all departments on all regulatory and general legal matters;
Assisting the line manager and the Conducting Officer with the oversight of activities of the local teams in Europe and US performed thought the SPVs to ensure compliance with applicable laws;
Reviewing documents linked to the structuring and launch of new investment products;
Maintaining relationships with external parties such as legal advisors, service providers and investors;
Supporting business development for new investment products;
Role specific skills and qualifications:
A minimum of 4 years PQE, ideally with a Law firm, in Real Estate and/or Investment Manager;
Masters in Law/Legal Studies;
Fluency in English, German or French considered as an advantage;
Excellent knowledge of Luxembourg fund structures, degree in German or US law constitutes an asset;
Team player, proactive and with excellent communication skills
